Terms of service
These terms are an agreement between you, the Shopify merchant who installs Reorder Nudge, and Alexander Medina ("we"), who runs it. By installing or using the app, you accept these terms and our privacy policy.
1. The service
Reorder Nudge reads your wholesale accounts and their orders from your Shopify store. It estimates when each account usually reorders, highlights accounts that look overdue, and drafts reorder emails for you to review and send yourself. The app never sends email on your behalf.
2. Plans and billing
The plans are Free (up to 5 accounts), Starter (up to 50 accounts) and Unlimited. Paid plans are billed through Shopify, on your Shopify invoice, at the price shown when you choose the plan. You can change or cancel your plan at any time from the app. A downgrade from a paid plan takes effect at the end of the current billing period. Uninstalling the app cancels your subscription. Fees already charged are not refunded, except where the law requires it. If we change prices, we give you at least 30 days' notice.
3. Your responsibilities
- You are responsible for the emails you send, and for having a lawful basis to contact your buyers. That includes respecting their unsubscribe choices and following anti-spam laws.
- You must not use the app to break the law or Shopify's terms, or try to reach data that isn't yours.
- You are responsible for who on your staff can access the app.
4. Data processing
For personal data about your buyers, you are the controller and we are your processor. We:
- process it only to provide the app and as you instruct by using it, as described in the privacy policy;
- keep it confidential, and limit access to Alexander Medina;
- protect it with the security measures in the privacy policy;
- use only Shopify and our hosting provider as sub-processors, and give you notice before adding another;
- help you answer buyers' data requests, including those Shopify passes to us;
- tell you within 72 hours of confirming a breach that affects your data;
- delete your store's data after you uninstall, as the privacy policy describes.
5. Our property
We own the app and its software. You may use it while it is installed on your store. You keep all rights to your store's data.
6. No guarantees
Reorder status is an estimate based on past orders. It is not a promise that an account will or won't reorder. The app is provided "as is". To the extent the law allows, we make no warranties, including that the app will be uninterrupted or error-free.
7. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, or for lost profits, revenue or data. Our total liability under these terms is limited to the fees you paid us in the 12 months before the claim.
8. Ending the agreement
You can stop at any time by uninstalling the app. We may suspend or end your access if you break these terms. If we discontinue the app, we give you at least 30 days' notice.
9. Changes
We may update these terms and will change the date above when we do. For significant changes, we notify you in advance. If you keep using the app after a change takes effect, you accept the new terms.
10. Governing law
These terms are governed by the laws of the State of California, USA.
